Welcome to Lawful Good (“we,” “us,” or “our”). These Terms of Service (“Terms”) govern your access to and use of our website and services (collectively, the “Service”). Please read these Terms carefully before using the Service.

By accessing or using the Service, you agree to be bound by these Terms and our Privacy Policy . If you do not agree to these Terms, you may not use the Service.

Definitions

  • User Content: Data entered by you into the Service, including documents, document titles, files, conversations, prompts, and AI responses.
  • Personal Information: Information that can be used to identify you as a person, such as your name, email address, IP address, and other information that you provide to us.
  • Metadata: Data about your User Content, such as the number of documents you have uploaded, the total size of your User Content, the number of conversations you have had, the number of prompts you have sent, or the number of AI responses you have received.

1. Subscription and Payment

The Service is offered through paid subscription plans as described on our Pricing page. By subscribing to a paid plan, you agree to the following:

  • Billing: You authorize us to charge the payment method you provide through our payment processor, Stripe, on a recurring basis at the start of each billing cycle. All fees are quoted in U.S. dollars.
  • Plan Changes: You may upgrade or downgrade your subscription plan at any time through your account settings. Changes will take effect at the start of your next billing cycle.
  • Cancellation: You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service through the end of your current billing period. No refunds will be issued for partial billing periods.
  • Price Changes: We may change our subscription pricing from time to time. We will provide you with at least thirty (30) days’ prior notice via email before any price increase takes effect, allowing you to cancel before the new pricing applies.
  • Free Tier: If a free tier is offered, it may have limitations on features, usage, or storage as described on the Pricing page. We reserve the right to modify or discontinue the free tier at any time with thirty (30) days’ notice.

2. User Eligibility and Professional Responsibility

  • Eligibility: The Service is intended exclusively for use by licensed attorneys in the United States or individuals directly employed by and under the supervision of such an attorney (e.g., paralegals, legal assistants). By creating an account, you represent and warrant that you meet these eligibility requirements. During registration, you will be asked to affirm your status as a licensed attorney or as an individual working under the direct supervision of one.
  • Professional Review Required: The content, suggestions, and output generated by the Service are for informational purposes only and do not constitute legal advice. All information and documents generated by the Service must be carefully reviewed by a qualified attorney before being used in any professional capacity, including but not limited to advising clients or submitting legal filings.
  • Compliance With Professional Obligations: You are responsible for ensuring that your use of the Service complies with all applicable rules of professional conduct, ethical obligations, and legal requirements governing your practice, including any obligations related to client confidentiality, competence in the use of technology, and the supervision of non-attorney staff.

3. Data Processing and Privacy

  • Privacy Policy: Our collection, use, and protection of your personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference.
  • Your Role: You are the data controller (or “business” under the CCPA) with respect to any client data you upload to or create within the Service. Lawful Good acts as a data processor (or “service provider”) on your behalf.
  • Your Responsibilities: You are responsible for obtaining any necessary consents or authorizations from your clients before uploading their data to the Service, and for responding to any data subject requests from your clients.
  • Subprocessors: A current list of third-party subprocessors that process data in connection with the Service is available on our Subprocessors page.

4. Security and Compliance

  • Our Security Measures: We employ a Zero-Knowledge Storage architecture in which your User Content is encrypted at rest using AES-256-GCM encryption with per-user keys. We do not log User Content, prompts, or AI responses. Our infrastructure operates under a HIPAA Business Associate Agreement (BAA) and a Cloud Data Processing Addendum (CDPA) with Google Cloud Platform.   • AI Model Data Handling: All AI model providers we use operate under Zero Data Retention (ZDR) agreements. Your prompts and AI responses are not stored by the model provider after processing and are not used to train AI models.
  • Your Compliance Obligations: If you are a covered entity or business associate under HIPAA, or are otherwise subject to data protection regulations, you are responsible for determining whether the Service meets your compliance requirements. While we have implemented measures to support HIPAA-compliant workflows, we do not guarantee compliance with HIPAA or any other regulation on your behalf. Compliance is a shared responsibility that depends on how you configure and use the Service.
  • No PHI Guarantee: Lawful Good does not monitor or inspect User Content to determine whether it contains Protected Health Information (PHI) or other regulated data. You are solely responsible for the nature of the data you upload.

5. Disclaimers and Limitation of Liability

  • No Guarantee of Accuracy: The Service relies on third-party Large Language Models (LLMs), which are non-deterministic and may produce inaccurate or incomplete information. We make no representations or warranties of any kind, express or implied, about the completeness, accuracy, reliability, suitability, or availability of the information generated by the Service.
  • No Liability for Inaccuracies: To the fullest extent permitted by law, Lawful Good, its affiliates, and its employees shall not be liable for any direct, indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues, whether incurred directly or indirectly, resulting from your reliance on any information or content provided by the Service. Your use of any information generated by the Service is strictly at your own risk.
  • Service Availability: We strive to maintain the availability of the Service but do not guarantee uninterrupted or error-free access. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We are not liable for any loss or damage resulting from service interruptions.
  • Maximum Liability: To the fullest extent permitted by law, Lawful Good's total cumulative liability to you for any and all claims arising out of or related to these Terms or your use of the Service, whether in contract, tort, or otherwise, shall not exceed the total amount of fees you have actually paid to Lawful Good for the Service during the twelve (12) months immediately preceding the event giving rise to the claim. If you have not paid any fees to Lawful Good, our maximum aggregate liability shall not exceed fifty U.S. dollars ($50.00).

6. User Accounts and Responsibilities

  • Account Security: You are responsible for safeguarding your account information and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.
  • Acceptable Use: You agree not to use the Service for any unlawful purpose or in any way that could harm the Service or impair anyone else’s use of it. You further agree not to attempt to reverse-engineer, decompile, or disassemble any part of the Service, or to access another user’s data or account without authorization.

7. Intellectual Property

  • Our Service: We and our licensors own all right, title, and interest in and to the Service, including all associated intellectual property rights. You may not copy, modify, or create derivative works of the Service.
  • Your Content: You retain all ownership rights to the documents and content you upload or create in the Service (“User Content”). You grant us a limited, non-exclusive license to use, process, and store your User Content solely for the purpose of providing the Service to you.
  • AI-Generated Content: Any content, text, suggestions, or other output generated by the Service’s artificial intelligence features (“AI-Generated Content”) is provided to you without any copyright restrictions from us. You are free to use, modify, distribute, and incorporate AI-Generated Content into your work without attribution to Lawful Good. However, we make no representations or warranties regarding the originality of AI-Generated Content or its fitness for any particular purpose, and you are responsible for reviewing all AI-Generated Content before use.

8. Termination

  • By You: You may terminate your account at any time through your account settings or by contacting us at support@lawfulgood.us.
  • By Us: We may suspend or terminate your access to the Service if we reasonably believe you have violated these Terms, if your use poses a security risk to the Service or other users, or if required by law. Except in cases involving violations of these Terms, fraud, or legal requirements, we will provide you with at least fifteen (15) days’ notice before terminating your account.
  • Effect of Termination: Upon termination, your right to use the Service will cease. You may export your User Content prior to termination. After termination, we will delete your User Content in accordance with the data retention practices described in our Privacy Policy. If you wish to export your data before your account is closed, you are responsible for doing so prior to the effective date of termination.

9. Indemnification

You agree to indemnify, defend, and hold harmless Lawful Good and its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or in any way connected with: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your violation of any rights of a third party, including any client or data subject.

10. Dispute Resolution

  • Informal Resolution: Before filing any formal legal claim, you agree to contact us at support@lawfulgood.us and attempt to resolve the dispute informally for at least thirty (30) days.
  • Governing Law: These Terms shall be governed and construed in accordance with the laws of the State of California, without regard to its conflict of law provisions.
  • Jurisdiction: Any legal action or proceeding arising out of or relating to these Terms that is not resolved informally shall be brought exclusively in the state Superior Court of Santa Cruz County, California, or federal courts located in the Northern District of California, San Jose Division, and you consent to the personal jurisdiction of such courts.

11. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide notice of any material changes by posting the new Terms on our website, updating the “Last Updated” date, and sending an email notification to the address associated with your account. Your continued use of the Service after such changes take effect constitutes your acceptance of the new Terms. If you do not agree with the revised Terms, you may terminate your account as described in Section 8.

12. General Provisions

  • Entire Agreement: These Terms, together with the Privacy Policy, constitute the entire agreement between you and Lawful Good regarding the Service and supersede all prior agreements and understandings.
  • Severability: If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
  • Waiver: Our failure to enforce any right or provision of these Terms will not constitute a waiver of that right or provision.
  • Assignment: You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign these Terms in connection with a merger, acquisition, or sale of assets, subject to the notice provisions in our Privacy Policy.
